Peter Ekberg
Partner - Lead Attorney
Peter Ekberg brings a radical ingenuity to corporate law that is part of his DNA.
With a robust background in corporate transactions (including M&A) and securities offerings of all sizes, he has deep experience advising emerging growth companies through every aspect of entity formation, capital structuring, equity and debt financing, and partnering/joint venture transactions. He has also advised mid-sized and Fortune 500 companies on a variety of financing transactions, strategic partnering transactions, and numerous M&A transactions. His experience covers a wide range of industries, from healthcare and medical technology to global manufacturing, to consumer products, supply and distribution, e-commerce, and media companies.
Highlighted by more than 25 years at major law firms, Peter has served as the managing partner of DLA Piper’s Minneapolis office, a founding partner of Jones Day’s Minneapolis office, and Chair of Faegre & Benson’s (now known as Faegre Drinker) Emerging Companies Practice. He earlier served our country as a Captain in the U.S. Army, 2nd Armored Cavalry Squadron, with direct combat experience in Operation Desert Storm.
Peter has a B.S. from the U.S. Military Academy and a J.D. from Columbia Law School. He is admitted to practice in Minnesota and New York.

Alan Seem
Partner - Lead Attorney
Alan has practiced law for nearly 30 years in multiple jurisdictions around the world. He started his practice with Shearman & Sterling (now A&O Shearman) in Hong Kong, Shanghai, Beijing and Abu Dhabi, and served as the Managing Partner of the Beijing Office and Head of Asia Capital Markets, before relocating to Silicon Valley in 2012. He spent several years each with Jones Day and DLA Piper in Palo Alto, before co-founding our firm.
After starting his career primarily as a capital markets lawyer in Asia, working on IPOs of Chinese and other Asian companies in the U.S. and Hong Kong stock markets, Alan expanded his practice to also cover M&A transactions, venture capital and corporate governance advisory work. He works with companies large and small, public and private, across industries, with a focus on technology and emerging growth companies.
Alan has helped companies raise, receive and invest billions of dollars in a variety of public and private financings, including IPOs, follow-on offerings, debt and convertible debt issuances, venture capital financings, mergers, acquisitions and take-private transactions. He has represented issuers, underwriters, buyers, sellers, investors and financial advisors.
He has a B.A. degree (magna cum laude) from Dartmouth College in Asian Studies and Economics and a J.D. from Columbia Law School. He is admitted to practice in New York and California. Alan also teaches as an Adjunct Lecturer at the University of California Berkeley Law School and is a Trustee of the California Pacific Medical Center Foundation.

Nathan Fagre
Partner - Lead Attorney
An experienced corporate and transactional attorney with more than 30 years of legal practice, Nathan has worked at both major law firms and as Chief Legal Officer at six public and private companies, including a global consumer products company, a global energy company and an e-commerce and media company. He also has expertise with emerging companies in the life sciences, energy and consumer products industries.
In the areas of corporate transactions, Nathan has experience in capital raises, M&A, corporate restructuring and complex commercial agreements. He also has an extensive background in advising Boards of Directors and senior management in a broad range of areas, including major transactions, fiduciary duties, investor and shareholder relations, executive compensation, corporate governance and disclosure obligations.
It’s this background that gives Nathan his ability, honed from experience, to anticipate the needs of his clients; to solve problems before they become problems.
Nathan has an A.B. from Harvard College, an M.Phil. from Oxford University (Magdalen College) and J.D. from Harvard Law School. He clerked for the U.S. Ninth Circuit Court of Appeals following law school. He is admitted to practice in New York and the District of Columbia (not admitted in Minnesota).
